Terms of Service

1. Acceptance of Terms

By accessing or using Ava Supernova ("the Service"), including the VS Code extension, Desktop IDE, CLI tool, Companion app (web and mobile), website, and managed API services operated by Augmented Value Acceleration ("we", "us", "our"), a company registered in England and Wales, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Ava Supernova is an open-source AI assistant that integrates with VS Code, a standalone Desktop IDE, the command line, and a mobile Companion app. The Service provides AI-powered code generation, editing, planning, teaching, security auditing, desktop automation, and tool execution using large language models. The Service is available in two modes:

  • Free tier — All users receive 300 free Ava Credits per month on every model (no credit card required). Credit top-ups are available for additional headroom. Users may also provide their own API keys (BYOK). In BYOK mode, the software runs locally and makes direct requests to third-party AI providers.
  • Managed plans (Pro, Ultra, Enterprise) — Users subscribe through our platform for larger monthly credit allowances and higher rate limits. API requests are routed through our infrastructure using platform-managed keys.

3. Accounts

An account is optional for BYOK usage. To use managed plans or access the free token pool, you must create an account using email authentication or GitHub OAuth. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorised access to your account. We reserve the right to suspend or terminate accounts that violate these terms.

4. Subscriptions & Billing

4.1 Plans

Managed plans are billed monthly through Stripe. Prices are as listed on our pricing page at the time of purchase. We reserve the right to change pricing with 30 days' notice to existing subscribers.

4.2 Free Credit Pool

All registered users receive 300 free Ava Credits per month on every supported model. Free credits reset on the first of each calendar month and do not roll over. We reserve the right to adjust the free credit allocation with reasonable notice.

4.3 Credit Allowances

Paid plans include a monthly credit allowance: Pro 5,000 credits, Ultra 10,000 credits, and Enterprise 20,000 credits. Credits are consumed by chat turns, orchestrated agent calls, and Creative Studio generations at the action-based rates published in your dashboard. Unused plan credits do not roll over to the next billing period. Credit top-ups purchased separately carry over until fully consumed.

4.4 Cancellation

You may cancel your subscription at any time from your dashboard or Stripe billing portal. Upon cancellation, you retain access until the end of your current billing period. No refunds are provided for partial periods.

4.5 Credit Top-ups

Credit top-ups are one-time purchases available in 750-credit ($3), 2,000-credit ($8), and 4,000-credit ($15) packages. Top-ups are non-refundable once purchased and remain available until fully consumed; they do not expire at the end of a billing period.

5. Acceptable Use

You agree not to:

  • Use the Service to generate malicious code, malware, or exploits intended to cause harm
  • Attempt to circumvent rate limits, credit allowances, or plan restrictions
  • Resell, sublicense, or redistribute managed API access to third parties
  • Use the Service in violation of any applicable laws or regulations
  • Abuse the platform to perform automated scraping, data harvesting, or denial-of-service attacks
  • Impersonate other users or misrepresent your affiliation with any entity
  • Use desktop automation features to access systems or accounts you are not authorised to use

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

6. Desktop Automation

The Desktop IDE includes an optional desktop automation feature that enables Ava to read the operating system's native UI Automation tree (no screenshots are taken) and perform mouse and keyboard actions on your behalf. By enabling this feature:

  • You consent to UI element labels and the active window's element list being sent to your selected AI provider for processing
  • You acknowledge that desktop automation carries inherent risks, including unintended clicks, keystrokes, or application interactions
  • You are solely responsible for the applications and data accessible during desktop automation sessions
  • You should not enable desktop automation while sensitive information (banking, medical, personal credentials) is visible on screen

Desktop automation is disabled by default. You control permission levels, allowed applications, confirmation modes, and can disable the feature at any time. We are not liable for any unintended actions performed by the desktop automation system.

7. Voice Input & Microphone Access

The Companion app offers an optional voice input feature that requires microphone access. By enabling this feature, you consent to your browser accessing your microphone for the sole purpose of converting speech to text. Audio is processed locally by your browser's built-in speech recognition engine and is never recorded, stored, or transmitted to our servers or any third party. Only the resulting text is used. You may disable microphone access at any time.

8. Intellectual Property

8.1 Your Code & Content

You retain full ownership of all code, content, and intellectual property you create using the Service. We claim no rights to your code, prompts, or outputs.

8.2 The Software

The Ava Supernova extension, CLI, and Desktop IDE are open-source software licensed under the Apache 2.0 licence. The website, managed infrastructure, and platform services are proprietary to Augmented Value Acceleration.

9. AI-Generated Output

The Service generates code and text using third-party AI models. AI-generated output may contain errors, security vulnerabilities, or inaccuracies. You are solely responsible for reviewing, testing, and validating all AI-generated code before using it in production. We provide no warranty on the accuracy, safety, or fitness of AI-generated output.

10. Third-Party Providers

The Service integrates with third-party AI providers including Alibaba Cloud (Qwen), Moonshot AI (Kimi), MiniMax, DeepSeek, Zhipu AI (GLM), Mistral AI, and Anthropic (Claude). When using managed plans, your prompts are transmitted to these providers for inference. Each provider operates under their own terms and privacy policies. We are not responsible for the behaviour, availability, or policies of third-party providers.

11. Availability & Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, third-party provider outages, or other factors beyond our control. We are not liable for any losses arising from service interruptions.

12. Limitation of Liability

To the maximum extent permitted by law, Augmented Value Acceleration and its contributors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of profits, business interruption, or damages arising from desktop automation actions. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

14. Changes to These Terms

We may update these Terms of Service from time to time. Changes will be posted on this page with an updated "Last updated" date. For material changes, we will provide 30 days' notice to registered users. Continued use of the Service after changes constitutes acceptance of the updated terms.

15. Health & Fitness Content

The Service includes a Health library at /healthcontaining workouts, exercises with technique guides and programming prescriptions, and recipes (collectively, the "Health Content"). The Health Content is informational and educational only.

  • The Health Content is not medical, fitness, dietary, or therapeutic advice and is not personalised to any individual's body, condition, training history, allergies, medications, or pregnancy
  • You must consult a qualified professional (doctor, registered dietitian, physiotherapist, certified coach, or equivalent) before starting any new exercise programme or dietary pattern, particularly if you are pregnant, postnatal, recovering from injury, managing a chronic condition, or over 40
  • You are solely responsible for verifying ingredients against your own allergies and dietary restrictions, for cross-checking nutrition information, and for following standard food-safety practice when preparing recipes
  • Difficulty ratings, programming prescriptions, and skill-level versions are generic guides — not individualised recommendations
  • Stop exercising immediately and seek medical attention if you experience chest pain, dizziness, faintness, unusual breathlessness, sharp or sudden pain, numbness, or any symptom that feels wrong
  • We make no warranty as to the accuracy, completeness, currency, safety, or appropriateness of any Health Content for any individual or condition

Use of the Health Content is at your sole risk. To the maximum extent permitted by law, Augmented Value Acceleration and its contributors are not liable for any injury, illness, or loss arising from your use of the Health Content.

16. Governing Law

These terms are governed by the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
