Terms of Service

1. Acceptance of Terms
By accessing or using Ava | Supernova ("the Service"), including the VS Code extension, Desktop IDE, CLI tool, Companion app (web and mobile), website, and managed API services operated by Augmented Value Acceleration ("we", "us", "our"), a company registered in England and Wales, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
Ava | Supernova is an open-source AI assistant that integrates with VS Code, a standalone Desktop IDE, the command line, and a mobile Companion app. The Service provides AI-powered code generation, editing, planning, teaching, security auditing, desktop automation, and tool execution using large language models. The Service is available in two modes:
- Free tier — All users receive 3 million free tokens per month on platform models (no credit card required). Users may also provide their own API keys (BYOK). In BYOK mode, the software runs locally and makes direct requests to third-party AI providers.
- Managed plans (Pro, Ultra, Enterprise) — Users subscribe through our platform for higher token allowances and additional model access. API requests are routed through our infrastructure using platform-managed keys.
3. Accounts
An account is optional for BYOK usage. To use managed plans or access the free token pool, you must create an account using email authentication or GitHub OAuth. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorised access to your account. We reserve the right to suspend or terminate accounts that violate these terms.
4. Subscriptions & Billing
4.1 Plans
Managed plans are billed monthly through Stripe. Prices are as listed on our pricing page at the time of purchase. We reserve the right to change pricing with 30 days' notice to existing subscribers.
4.2 Free Token Pool
All registered users receive 3 million free tokens per month on supported platform models. Free tokens reset on the first of each calendar month and do not roll over. We reserve the right to adjust the free token allocation with reasonable notice.
4.3 Token Allowances
Each paid plan includes a monthly token allowance. Tokens are consumed by both input and output across all models. Unused tokens do not roll over to the next billing period. Token top-ups purchased separately carry over until used.
4.4 Cancellation
You may cancel your subscription at any time from your dashboard or Stripe billing portal. Upon cancellation, you retain access until the end of your current billing period. No refunds are provided for partial periods.
4.5 Token Top-ups
Token top-ups are one-time purchases. They are non-refundable once purchased and remain available until fully consumed.
5. Acceptable Use
You agree not to:
- Use the Service to generate malicious code, malware, or exploits intended to cause harm
- Attempt to circumvent rate limits, token allowances, or plan restrictions
- Resell, sublicense, or redistribute managed API access to third parties
- Use the Service in violation of any applicable laws or regulations
- Abuse the platform to perform automated scraping, data harvesting, or denial-of-service attacks
- Impersonate other users or misrepresent your affiliation with any entity
- Use Computer Use features to access systems or accounts you are not authorised to use
We reserve the right to suspend or terminate accounts that violate these terms without prior notice.
6. Computer Use & Desktop Automation
The Desktop IDE includes an optional Computer Use feature that enables Ava to capture screenshots, detect UI elements, and perform mouse and keyboard actions on your behalf. By enabling this feature:
- You consent to screenshots of your screen being captured and sent to an AI vision model for processing
- You acknowledge that desktop automation carries inherent risks, including unintended clicks, keystrokes, or application interactions
- You are solely responsible for the applications and data visible on your screen during Computer Use sessions
- You should not enable Computer Use while sensitive information (banking, medical, personal credentials) is visible on screen
Computer Use is disabled by default. You control permission levels, allowed applications, confirmation modes, and can disable the feature at any time. We are not liable for any unintended actions performed by the desktop automation system.
7. Voice Input & Microphone Access
The Companion app offers an optional voice input feature that requires microphone access. By enabling this feature, you consent to your browser accessing your microphone for the sole purpose of converting speech to text. Audio is processed locally by your browser's built-in speech recognition engine and is never recorded, stored, or transmitted to our servers or any third party. Only the resulting text is used. You may disable microphone access at any time.
8. Intellectual Property
8.1 Your Code & Content
You retain full ownership of all code, content, and intellectual property you create using the Service. We claim no rights to your code, prompts, or outputs.
8.2 The Software
The Ava | Supernova extension, CLI, and Desktop IDE are open-source software licensed under the Apache 2.0 licence. The website, managed infrastructure, and platform services are proprietary to Augmented Value Acceleration.
9. AI-Generated Output
The Service generates code and text using third-party AI models. AI-generated output may contain errors, security vulnerabilities, or inaccuracies. You are solely responsible for reviewing, testing, and validating all AI-generated code before using it in production. We provide no warranty on the accuracy, safety, or fitness of AI-generated output.
10. Third-Party Providers
The Service integrates with third-party AI providers including Alibaba Cloud (Qwen), Moonshot AI (Kimi), MiniMax, DeepSeek, Zhipu AI (GLM), Mistral AI, Anthropic (Claude), and H Company (Holo3 for Computer Use). When using managed plans, your prompts are transmitted to these providers for inference. Each provider operates under their own terms and privacy policies. We are not responsible for the behaviour, availability, or policies of third-party providers.
11. Availability & Uptime
We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, third-party provider outages, or other factors beyond our control. We are not liable for any losses arising from service interruptions.
12. Limitation of Liability
To the maximum extent permitted by law, Augmented Value Acceleration and its contributors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of profits, business interruption, or damages arising from desktop automation actions. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
13. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
14. Changes to These Terms
We may update these Terms of Service from time to time. Changes will be posted on this page with an updated "Last updated" date. For material changes, we will provide 30 days' notice to registered users. Continued use of the Service after changes constitutes acceptance of the updated terms.
15. Governing Law
These terms are governed by the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
